AI Shyp Legal, Trust & Policies

• Technology Intermediary: AI Shyp is an enterprise SaaS platform and technology aggregator that provides software tools, API connectivity, and white-label portals connecting users to third-party courier carriers (including but not limited to Delhivery, BlueDart, DTDC, Xpressbees, Shadowfax, Ekart Logistics, and others).

• Not a Direct Freight Carrier: AI Shyp is not an airline, rail carrier, linehaul transporter, or courier delivery fleet operator. The physical transit, handling, carriage, sorting, and last-mile delivery of all shipments are performed exclusively by the respective third-party courier partner selected during AWB generation.

• Carrier Conditions Incorporated: Each parcel booked through the AI Shyp platform is additionally governed by the standard terms and conditions of carriage of the respective courier carrier assigned to that AWB.

• Legal Capacity: You must be at least 18 years of age and possess the legal authority to enter into binding commercial contracts in India.

• Mandatory KYC: In strict adherence to logistics industry regulations and Indian Government directives, all merchants and franchise partners must complete mandatory Know Your Customer (KYC) verification by submitting valid documentation (GSTIN certificate, Company PAN, Bank Account proof, and authorized signatory Aadhar/Passport).

• Account Security: You are solely responsible for preserving the confidentiality of your login credentials, API secrets, and sub-counter account access tokens. Any activity originating from your account or authorized sub-agent logins shall be deemed your sole legal responsibility.

• Billing Metric: All courier freight charges are computed based on the higher of Dead Weight (actual scale weight) or Volumetric (Dimensional) Weight.

• Volumetric Formula: Calculated as (Length in cm × Width in cm × Height in cm) / 5000 (or the standard carrier dimensional divisor specified on the active rate card).

• Automated Carrier Audits: Couriers utilize certified high-speed volumetric laser scanners at hub intake centers. If the carrier-scanned weight exceeds the merchant-declared weight, the resulting freight difference will be automatically deducted from your prepaid wallet balance.

• Dispute Window: Merchants can contest weight discrepancies within 4 (four) calendar days of debit by submitting unedited photographs of the parcel on a calibrated digital weighing scale with a measuring tape displaying all dimensions and the AWB clearly legible.

• Prepaid Wallet Model: AI Shyp operates on a prepaid balance system. Freight costs are debited in real time upon successful AWB generation. Bookings are automatically suspended if wallet balance falls below the minimum required threshold.

• 0% Commission Model: AI Shyp provides a pure SaaS software model. We do not take commission cuts or margin splits from your shipping freight or franchise counter markups.

• Cash on Delivery (COD) Remittance: Collected COD funds are remitted to your verified bank account on an expedited T+1 or T+2 business-day cycle following carrier delivery confirmation, after deducting any pending freight or NDR charges.

• Taxes & GST: All SaaS subscription fees and logistics freight rates are subject to Goods and Services Tax (GST) at the prevailing statutory rate (currently 18%). Tax invoices are generated monthly.

• AI Shyp IP: The AI Shyp core platform, microservices, mobile app source code, routing algorithms, algorithms, and documentation remain the exclusive intellectual property of VizLabs.

• White-Label SaaS License: White-label plan subscribers receive a non-exclusive license to bind their custom domain (e.g., ship.yourbrand.com) and display their company logo, brand colors, and customer rate cards to end merchants and sub-counters.

• Brand Integrity: You shall not use AI Shyp trademarks or brand assets in any misleading manner or misrepresent our technology as an unlicensed proprietary build.

• Platform Uptime: AI Shyp maintains a 99.9% uptime SLA target for cloud portal services and mobile backend APIs, excluding scheduled maintenance windows.

• Carrier Delays & Force Majeure: AI Shyp is not liable for carrier delivery delays, vehicle breakdowns, weather disruptions, national strikes, customs holds, or force majeure events outside our reasonable control.

• Liability Cap: To the maximum extent permitted by applicable Indian law, AI Shyp’s aggregate financial liability arising out of any platform software failure or breach of this Agreement shall be limited to the total SaaS subscription fee paid by the user in the immediately preceding 1 (one) month.

You agree to defend, indemnify, and hold harmless AI Shyp, VizLabs, its directors, officers, employees, and carrier partners from and against any claims, losses, liabilities, fines, and legal costs resulting from:

• Your breach of any provision of these Terms or applicable logistics laws.

• Misdeclaration of parcel contents, declared values, or shipping weights.

• Dispatch of prohibited, contraband, or hazardous substances.

• Infringement of any third-party intellectual property or privacy rights.
